ALTO advised Gleevery on its second investment round

ALTO has advised Gleevery, a startup which has successfully completed its second investment round. Since its establishment, Gleevery has already raised more than PLN 7 million in funding, among others from individual investors.

Gleevery is a cutting-edge platform operating in the field of new technologies and circular economy. The startup, working with employers, provides their employees with the opportunity to rent thousands of products through an attractive platform. It also cooperates with retail chains, manufacturers and distributors enabling them to offer their product range on a rental basis. Gleevery services are already being used by companies and individuals in more than 50 Polish cities.

The investment in Gleevery stood out process-wise compared to others of this size, and yet with ALTO by my side I felt very comfortable. We managed to smoothly reconcile the interests and visions of almost 20 parties. In addition, just hours before the closing of the second investment round, the corporate governance of the company changed due to the involvement of another investor. We are very pleased that Adam Radzki, a former board member of Benefit Systems, has managed to join us. However, gathering the consents of all our shareholders scattered all over the world in such a short period of time was quite a challenge, which together with ALTO we successfully met – comments Jakub Buga, founder and CEO of Gleevery.

ALTO experts provided legal advisory services in the course of the investment. We supported Gleevery in the preparation of transaction documentation, negotiations and coordination of the signing and closing of the transaction.

The team of ALTO lawyers was led by Rafał Kozłowski (Counsel & Attorney-at-law, Head of M&A/VC), supported by Szymon Tyniec (Senior Associate & Advocate) and Aleksandra Traczuk (Junior Associate).

Dagmara Witt-Kuczyńska – the new Leader for Accounting and HR & Payroll services at ALTO

At the beginning of April Dagmara Witt-Kuczyńska joined ALTO as a Managing Director and will be responsible for operations and the development of the accounting and HR & payroll outsourcing service line. Dagmara strengthens ALTO’s management team at a key moment of strong growth of the company’s portfolio of foreign investors (e.g. from the real estate and RES sectors) and the development of a “smart BPO” service model dedicated to these entities, which allows for the provision of a combined package of services from all ALTO Group business lines (i.e. accounting, HR & payroll, tax advisory, legal and technology in finance).

I am happy that Dagmara, by choosing ALTO, believed in our company and the direction we intend to go as a Group. It is a sign to me that we are a viable competitor to the biggest: both as an employer and as a provider of professional services. Dagmara joins us at the most exciting time, when we are observing tremendous technological advances driving almost all business sectors, with the consequent rise in expectations from global investors and an emphasis on high performance and quality back office processes. I am convinced that a person with the kind of business experience that Dagmara has is the best choice to follow the technological progress to an even higher level of development in the area of professional services outsourcing and, consequently, to support our clients in increasingly complex processes. Dagmara has the full trust and support of the entire ALTO team, and we – already today – are confident that a person with the right values and competences as a Team and Service Line Leader is coming on board – comments Paweł Fałkowski, Co-founder and Managing Partner of the Accounting Outsourcing and HR & Payroll practice at ALTO.

The acquisition of Dagmara and her valuable managerial experience in companies from the consulting and BPO providers sector is one of the elements of ALTO’s development strategy, which, in the long run, will allow us to effectively achieve the set business goals and be even more competitive on this market – adds Paweł.

In her new role, Dagmara Witt-Kuczyńska will also be responsible for the implementation of internal solutions aimed at optimising the service delivery model and its development towards global trends in this market (automation, high level of data protection, development of back-office specialists and tools enabling the delivery of outsourcing services remotely).

– I am close to both ALTO’s values and the long-term vision for the organisation’s development. Today’s business is undergoing a huge technological transformation, while at the same time there is a growing awareness in the area of sustainability. Customers are increasingly interested in what values a company represents, what reputation it has in the market and whether it treats them as its business partners or rather sees them as just ‘another source of revenue’. I make no secret of the fact that the operating model and the way ALTO is perceived in the market were important from the perspective of my decision to join the team. I am also looking forward to leading such a dynamic and competent team. I believe that our cooperation will be a field for growth for all of us and together we will be strong both externally and internally. We cannot forget how important relationships and mutual trust are – I think that together we will be able to build a space where everyone will feel comfortable and is able to develop their talents – this is how Dagmara Witt-Kuczyńska comments on her joining.

ALTO joins the Polish Wind Energy Association

ALTO has joined the Polish Wind Energy Association.

PWEA is a non-governmental organisation that has been active since 1999. Its mission is to support and promote the development of wind energy through the combined activity of its members. Its aim is to create favourable conditions for investment in wind energy in Poland and to systematically increase the use of wind energy as a clean source of electricity generation.

ALTO, with its presence in PWEA, will support and spread these ideas, as well as assist the association in developing effective strategies and taking initiatives to combat barriers to wind energy development.

Our ambassadors for the association will be Przemysław Gut and Agata Małecka, for whom we are keeping our fingers firmly crossed, wishing them only favourable winds.

ALTO advises JR HOLDING on its investment in NOXO Energy

ALTO advised JR Holding ASI S.A. (“JR Holding”) on its equity investment in NOXO Energy sp. z o.o. (“Noxo”) – an operator of an electric car charging network.

JR HOLDING is a company listed on NewConnect since November 2012, investing in key industries of the future, i.e. digital business, renewable energy or the space industry.

The investment in NOXO Energy is another project for us in the renewable energy sector. It is one of our priority industries. After completing the investment in Columbus Energy, we are reinvesting the profits in ventures that we believe will grow rapidly. We already have in our portfolio a manufacturer of innovative heat pumps, the companies IGLOO and MILOO ELECTRONICS, the energy storage company LaserTec or the breakthrough battery manufacturer The Batteries. NOXO joins this portfolio and I am convinced that it will provide us with the expected return on invested capital in the future – declares January Ciszewski, investor and CEO of JR Holding” – states JR Holding in an official announcement.

NOXO is one of the fastest growing operators of charging stations in Poland, with more than 250 localisations. The network of stations covers, among others, tourist attractions, four- and five-star hotels, amusement parks, golf courses as well as shopping malls.

ALTO provided legal services for the transaction, in particular support in the preparation and negotiation of the transaction documentation. In addition, the team conducted tax due diligence and advised on negotiating the tax aspects of the investment agreement.

The team of ALTO lawyers was led by Rafał Kozłowski (Counsel & Attorney-at-law, Head of M&A/VC) and supported by Jędrzej Besztak (Associate), Szymon Tyniec (Associate & Advocate), Aleksandra Traczuk (Junior Associate) and Ewa Michalska (Junior Associate).

The tax aspects of the transaction were supervised by Daniel Banach (Partner & Tax Advisor) with the help of Mariusz Miśkiewicz (Senior Consultant).

ALTO nominated in the Invest Cuffs 2023 contest – Silver Laurel

We are pleased to announce that ALTO has been nominated in the annual investment industry competition Invest Cuffs 2023 in the category “Law Firm 2022”.

The competition is organised as part of the annual meeting Invest Cuffs 2023, which brings together the investment industry. It is also one of the largest events of its kind in Europe and attracts numerous  experts, representatives of the most important players in the industry, institutional and retail clients every year.

The firms that made it to the list of nominees were selected from candidates proposed by the investment community or the members of the competition’s Jury themselves. This is also why this is such positive news for us – we are very pleased that we are being noticed and appreciated for our work so far.

Importantly, after the stage of selection of nominees by the Jury, came the stage of voting by Internet users – the final success will therefore be determined by the number of votes cast online for the nominees.

In addition to the “Law Firm 2022” category, winners can also be selected in 21 other categories related to the investment industry. However, this is not necessary to cast an effective vote.

All those who believe that voting for us is worthwhile are encouraged to participate here>> (the voting takes place in Polish)

Voting continues until 6 March.

UPDATE:

Success! We now know the results of the competition: ALTO has received the Silver Laurel.

The honours were awarded on the basis of a vote by the investment community, which cast a total of 120,000 votes this year.

We would like to thank you for all the votes received and congratulate the other award winners and our ALTOteam on another success!
